Art. 1: Applicability of these Terms
Deliveries, services and offers by Bears & Dogs GmbH are made exclusively on the basis of these terms and conditions, even where they are not expressly agreed again. By ordering goods or services, these terms are deemed accepted. Any general purchasing terms of the buyer are hereby rejected. Deviations from these terms are only effective if we confirm them in writing.
Art. 1.1: Scope of these Terms and Conditions
These Terms and Conditions apply to all shops and services operated by Bears & Dogs GmbH, namely www.bears-dogs.ch, www.dogfriends.ch and www.bear-chair.ch. Domain-specific special terms, where they exist, are set out separately on the respective domain.
Art. 2: Offer and Conclusion of Contract
Offers by Bears & Dogs GmbH in price lists and advertisements are subject to change and non-binding. Orders only become binding on Bears & Dogs GmbH after written confirmation. Order confirmations are issued only on express request.
The products are aimed exclusively at customers residing or based in Switzerland, Liechtenstein, Germany and Austria. Deliveries are made exclusively to addresses in these countries. In individual cases and by prior arrangement, products may also be delivered to other countries.
The information in our sales materials, such as drawings, illustrations, dimensions, weights and other specifications, is to be understood as indicative only and does not constitute a guarantee of characteristics, unless expressly designated as binding in writing. If a buyer exceeds their credit limit through an order, we are released from our obligation to deliver.
The listing of the range on the Bears & Dogs GmbH website does not yet constitute a legally binding offer; the presentation on the internet is non-binding. When the customer places an order via the internet, email, mobile, telephone or fax, they make a binding offer to conclude a purchase contract. The customer receives a confirmation of receipt of the order; this confirmation does not, however, constitute acceptance of the offer. Bears & Dogs GmbH reserves the right to decline the offer without giving reasons. A legally binding purchase contract only comes into existence when Bears & Dogs GmbH sends the order confirmation.
Products are generally delivered according to sample, illustration or sketch. Minor deviations in size, colour, structure and workmanship are reserved. Particularly with repeat or supplementary orders, deviations are unavoidable in the absence of other written commitments.
Decorative items shown in pictures are, unless named, not part of the product offer. Accessories and decorative items must be purchased separately. In the absence of other written commitments, the items are intended exclusively for private use.
Art. 3: Prices
3.1 Applicable price
The prices published in the online shop at the time of the order and the amounts stated in our order confirmation are authoritative. For stocked goods, prices are fixed at the time of the order. In the event of supply shortages or special procurement, the daily price on the order date applies.
3.2 Price structure and VAT
All final prices published in the online shop are in Swiss francs (CHF). Under Swiss law, Bears & Dogs GmbH is not liable for VAT (see Legal Notice); the final prices therefore contain no Swiss VAT. For deliveries to EU countries (DE, AT), the buyer bears any import VAT, customs duties and processing costs in accordance with the rules applicable in the destination country. These costs are charged separately by the responsible customs authority or the shipping provider.
3.3 Shipping and transport costs
Shipping and transport costs are shown separately in the basket before the order is completed and are not included in the final price. The delivery conditions displayed during the order process are authoritative.
3.4 Scope
The stated prices and shipping conditions apply to delivery addresses in Switzerland, the Principality of Liechtenstein, Germany and Austria.
3.5 Set-off
The set-off of claims requires the consent of both parties.
Art. 4: Delivery and Performance Times
Dates and delivery periods are non-binding unless expressly agreed otherwise in writing. The indication of specific delivery periods and dates by Bears & Dogs GmbH is subject to correct and timely supply by suppliers and manufacturers.
The ordered goods are delivered to the delivery address provided by the customer at the time of the order. Delivery takes place at the shipping costs stated in each individual case, which are shown before the order is placed. Delivery may also be made in partial deliveries, provided this is reasonable for the customer.
Extraordinary assembly effort and special equipment are charged by expenditure and per a separate quote.
Art. 5: Default of Acceptance
If, after a reasonable grace period set for them has expired, the buyer refuses to accept the delivered goods or declares that they do not wish to take delivery, Bears & Dogs GmbH may refuse to perform the contract and demand damages for non-performance. The damages amount to a flat 15% of the agreed purchase price. The buyer remains entitled to prove that no damage or lesser damage occurred. Bears & Dogs GmbH remains entitled to claim the higher damage actually incurred.
This provision applies without prejudice to any rights arising from a withdrawal under Art. 9.
Art. 6: Delivery / Collection
6.1 Delivery address, deadlines and costs
Delivery is made to the delivery address provided by the customer at the time of the order and at the stated shipping costs shown before the order is placed. Delivery periods follow the respective product description. Bears & Dogs GmbH is not liable for delays outside its sphere of influence or caused by circumstances on the customer's side.
6.2 Duty to inspect and complaints
Visible quantity discrepancies must be reported in writing to Bears & Dogs GmbH and the carrier immediately upon receipt of the goods, hidden quantity discrepancies within 4 days of receipt. Complaints regarding damage, delay, loss or inadequate packaging must be raised immediately after the consignment arrives.
6.3 Collection
If the ordered products are made ready for collection at the warehouse in Frauenfeld, Thurgau, the customer is obliged to collect them within 14 calendar days of the agreed collection date. If collection does not take place within this period, Bears & Dogs GmbH reserves the right to cancel the contract and to charge a handling compensation of 20% of the order value, but at least CHF 60.–, plus any loss in value of the ordered products.
6.4 Additional services / assembly
Extraordinary services such as assembly, on-site fitting and special equipment are charged by expenditure and per a separate quote. On request, Bears & Dogs GmbH carries out the assembly with trained staff; in that case, the extended warranty under Art. 8.4 applies.
Art. 7: Transfer of Risk
The risk of loss of or damage to the goods passes to the buyer as soon as the consignment has been handed over to the carrier. If dispatch is delayed through no fault of Bears & Dogs GmbH or becomes impossible, the risk passes to the buyer upon notification that the goods are ready for dispatch. Any assumption of transport costs by Bears & Dogs GmbH agreed in an individual case does not affect the transfer of risk.
Art. 8: Complaints and Warranty
8.1 Duty to inspect and notice of defects
Consumers (B2C): The statutory warranty periods of your country of residence apply (in Switzerland: two years under Art. 210 of the Swiss Code of Obligations; in Germany: two years under § 438 BGB, with a 12-month presumption period under § 477 BGB; in Austria: two years under § 933 ABGB). You are not obliged to inspect the goods immediately; the warranty period runs from delivery.
Businesses (B2B): The buyer is obliged to inspect the delivered goods for defects (in particular wood breakage and transport damage) immediately upon receipt. Notices of defects must be sent in writing to Bears & Dogs GmbH within 8 days of receipt of the goods (Art. 201 of the Swiss Code of Obligations).
8.2 Defects within the buyer's area of responsibility
Excluded from the warranty is damage that is demonstrably not attributable to a product defect but to:
- improper assembly (in particular deviating from the assembly instructions provided);
- use of non-original fasteners or spare parts;
- exceeding the stated maximum load;
- structural modifications or repairs by unauthorised third parties;
- damage from weather influences, improper storage or normal wear;
- damage to wear parts (e.g. wood patina, surface care).
In B2C contracts, the exclusion applies only to the extent that Bears & Dogs GmbH can prove the specific causal link. In B2C contracts, the burden of proof of freedom from defects within the first 12 months after delivery remains with Bears & Dogs GmbH (§ 477 BGB).
8.3 Scope of the warranty
Warranty performance is provided, at the choice of Bears & Dogs GmbH, by free repair, replacement with an equivalent product, price reduction (proportional refund) or (for reduced goods) refund of the purchase price. Further claims remain reserved in accordance with statutory provisions. Wear parts (e.g. wood patina, surface care) are excluded from the warranty.
8.4 Extended warranty for fully assembled and partially assembled products
For products fully assembled and delivered by Bears & Dogs GmbH, Bears & Dogs GmbH grants an extended warranty of 10 years from delivery covering construction and assembly quality, unless agreed otherwise. For products delivered partially assembled by Bears & Dogs GmbH, Bears & Dogs GmbH grants an extended warranty of 5 years from delivery covering the construction and assembly quality of the components pre-assembled by Bears & Dogs GmbH. The extended warranties apply in addition to the statutory warranty rights under Art. 8.1 and do not restrict those rights. The extended warranties do not cover damage under Art. 8.2.
Please note that the prices stated in the online shop do not include the assembly and delivery service; please contact us for an individual quote (see Art. 6.4).
Art. 9: Right of Withdrawal for Consumers
9.1 Voluntary right of withdrawal (CH + DACH)
Consumers residing in Switzerland, the Principality of Liechtenstein or a member state of the European Union have the right to withdraw from the purchase contract within 14 days without giving reasons.
The exact modalities (form, deadlines, consequences) are set out in the separate Right of Withdrawal and the model withdrawal form. These are provided before the contract is concluded and form part of these Terms and Conditions.
9.2 Exclusions from the right of withdrawal
Excluded from the right of withdrawal are:
- custom sizes and made-to-order items that are not part of the standard range;
- specially printed, personalised or custom-logo items;
- sealed hygiene products once the seal has been removed.
Standard furniture from the Bear Chair range (e.g. Adirondack Chair Original, Royal Bear Chair, sets from the online shop) is NOT excluded from the right of withdrawal.
Missing original packaging does not not exclude your right of withdrawal. In that case, please use comparable, transport-safe packaging. If handling beyond inspecting the goods leads to a loss in value, Art. 9.5 applies.
9.3 Returns for defects (separate from the right of withdrawal)
Complaints about defects are handled in accordance with Art. 8 (Complaints and Warranty). These claims are independent of the right of withdrawal under Art. 9.1 and can be asserted within the statutory warranty periods.
Returns of defective products must include a complete description of the fault and a copy of the invoice. Returns are made by arrangement with Bears & Dogs GmbH; if the notice of defects is justified, Bears & Dogs GmbH bears the return costs.
9.4 Return costs and shipping logistics
Returns are free of charge for you. Bears & Dogs GmbH bears the costs of the return, both under the right of withdrawal per Art. 9.1 and for justified notices of defects per Art. 8. For goods assembled by us, Art. 9.6 applies.
All products from our online shop are delivered as kits and can be shipped by parcel service, including double chairs, benches, tables and sets. A freight forwarder is not required for returns.
How to proceed: Contact us before returning the goods (info@bear-chair.ch or +41 79 605 51 88). We will provide you with a prepared return label.
Have you already paid for the return yourself? We will refund the costs. Send us the payment receipt at info@bear-chair.ch; we will transfer the amount back together with the purchase price to the same payment method.
Returning at the showroom: By prior arrangement, you can also return the goods in person at our showroom in Frauenfeld (Moosweg 17, 8500 Frauenfeld). In that case, shipping costs do not apply at all.

Deadline: You must return or hand over the goods to us without undue delay and in any case no later than 14 days from the day you declared your withdrawal.
Packaging: The goods should if possible be returned in the original packaging to avoid transport damage. If the original packaging is no longer available, please use comparable, transport-safe packaging.
9.5 Loss in value with assembled kits
Bear Chair furniture is delivered as kits. You can return the furniture under the right of withdrawal even if you have already started assembly. Please note:
- You only have to pay for any loss in value of the goods if this loss is attributable to handling that was not necessary to inspect the nature, characteristics and functioning of the goods.
- An inspection typically comprises: unpacking, viewing the individual parts, trying it out with the pre-assembly loosely slotted together, but not fully screwing, gluing or drilling in a permanent form.
- For fully assembled, glued or screwed furniture, we reserve the right to apply a value deduction corresponding to the actual loss in value. The deduction is agreed with you in each individual case and, in our experience, lies between 20% and 50% of the purchase price, depending on the condition of the returned furniture.
- Before final assembly, we recommend a function test with the parts loosely slotted together. If you decide against the purchase, you thereby avoid any deduction for loss in value.
9.6 Goods assembled by us and assembly services
Our online shop range consists exclusively of kits. If Bears & Dogs GmbH takes over the assembly at your express request (Art. 6.4, separate quote), the following applies to these orders:
Assembly service: If you have expressly requested that we begin the assembly before the withdrawal period expires, and you have confirmed that you lose your right of withdrawal for this service upon its complete performance, the right of withdrawal for the assembly service lapses upon its complete execution. Payment for the assembly already performed remains due; a refund of the assembly fee is excluded.
Return transport: For goods assembled by us, return as a parcel is no longer possible; the return transport requires a freight forwarder. You bear the costs of this return transport. The assumption of costs under Art. 9.4 does not apply to assembled goods.
Loss in value: In addition, Art. 9.5 applies. For fully screwed or glued furniture, the value deduction is, in our experience, at the upper end of the range stated there.
Art. 10: Retention of Title
Until the purchase price has been paid in full, the goods remain the property of Bears & Dogs GmbH. If Bears & Dogs GmbH considers its claim to be at risk, it is entitled to have the retention of title entered in the register at the buyer's expense. The retention of title applies until final payment even without registration.
Art. 11: Payment
11.1 Payment methods offered
The following payment methods are available during the order process:
- Prepayment (bank transfer)
- Credit/debit card (Visa, Mastercard) via PostFinance Checkout (PostFinance AG)
- TWINT (CH) via PostFinance Checkout
- PostFinance Card, PostFinance Pay and PostFinance E-Finance via PostFinance Checkout
- PayPal via PayPal (Europe) S.à r.l. et Cie, S.C.A.
- Alipay and WeChat Pay via PostFinance Checkout
11.2 Time of debiting
The charge is governed by the terms of the respective payment service provider; as a rule, it is made when the order is confirmed.
11.3 Prepayment
If «prepayment» is chosen, delivery only takes place after the payment has been received in our business account. The order is reserved until payment is received; if payment is not made within 14 days, Bears & Dogs GmbH reserves the right to cancel the order.
11.4 Payment on invoice
In exceptional cases and by individual agreement, delivery is made on invoice. Unless agreed otherwise, the invoice amount is payable strictly net within 20 calendar days of receipt of the invoice.
11.5 Default
In the event of late payment, Bears & Dogs GmbH reserves the right to charge default interest per Art. 104 of the Swiss Code of Obligations (CH) or §§ 286 et seq. BGB (DE). For consumer transactions in Germany and Austria, default occurs at the latest 30 days after receipt of the invoice per § 286(3) BGB. For B2B transactions, the agreed payment date constitutes default.
11.6 Cheques and availability of payment
Cheques are accepted only on account of performance and count as payment only once cashed. A payment is deemed made as soon as the amount is actually at the disposal of Bears & Dogs GmbH.
11.7 Discounts and vouchers
Discounts and vouchers are accepted exclusively under the conditions stated on the voucher. Voucher codes must be entered during the order process; discounts cannot be granted retroactively. Discounts cannot be combined.
Art. 11.1a: Processing fees for late payment
Switzerland / Liechtenstein: When a claim is handed to a debt collection service, processing fees are charged depending on the claim amount, up to a maximum of: CHF 50 (up to CHF 20) | 70 (up to 50) | 100 (up to 100) | 120 (up to 150) | 149 (up to 250) | 195 (up to 500) | 308 (up to 1,500) | 448 (up to 3,000) | 1,100 (up to 10,000).
Germany / Austria (consumer transactions): For consumer transactions in Germany and Austria, reminder fees are charged only in the amount actually incurred and proven, but at least CHF 5.– per reminder. Default occurs in accordance with the statutory provisions applicable there (in DE: 30 days after receipt of the invoice per § 286(3) BGB).
Art. 12: Liability
12.1 Personal injury: unlimited statutory liability
Bears & Dogs GmbH is liable without limitation for damage arising from injury to life, body or health, insofar as it is based on a product defect or a breach of duty by Bears & Dogs GmbH. This liability applies in particular under the Product Liability Act (ProdHaftG, Germany) and under Art. 1 et seq. of the Product Liability Act (PrHG, Switzerland) and cannot be excluded.
However, Bears & Dogs GmbH is not liable for personal injury insofar as the damage is demonstrably attributable to the following causes:
- the assembly instructions provided were not followed, or only incompletely;
- screws, fasteners or other components were replaced with non-original parts;
- the maximum load stated in the product description was exceeded;
- structural changes were made to the product;
- the product was improperly stored, modified or used contrary to the contract.
Bears & Dogs GmbH recommends carrying out the assembly carefully and completely in accordance with the instructions provided. If in doubt, the paid assembly and delivery service of Bears & Dogs GmbH is available (see Art. 6.4).
12.2 Liability for material contractual obligations (cardinal obligations)
In the event of a breach of material contractual obligations (obligations whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance the buyer may regularly rely), the liability of Bears & Dogs GmbH for simple negligence is limited to the foreseeable damage typical of the contract.
12.3 Exclusion of liability in all other respects
In all other respects, the liability of Bears & Dogs GmbH and its agents and auxiliaries for simple negligence is excluded, unless a mandatory statutory provision prevents this. In particular, Bears & Dogs GmbH is not liable for indirect damage, consequential damage, lost profit, unrealised savings, damage from delayed delivery (in the absence of intent or gross negligence), damage from force majeure, official orders or natural events, or damage from the use of incompatible spare or accessory parts.
12.4 Fraudulently concealed defects
For fraudulently concealed defects, Bears & Dogs GmbH is liable without limitation in accordance with statutory provisions.
Art. 13: Copyright
The copyright in our website and its contents, including texts and graphics (non-exhaustive list), lies fully with Bears & Dogs GmbH. Any use or reproduction of this content, whether by copying, downloading or other use for your own purposes, is prohibited without our express written consent. The only exceptions are those links and materials explicitly offered by us for download.
Art. 13a: Product Reviews
After completing an order, the buyer may be invited to review the purchased products. Participation is voluntary. A review invitation by email is sent only if the buyer expressly consented during the order process. Reviews can only be submitted by verified buyers. We reserve the right to check reviews before publication and not to publish, or to remove, content that violates applicable law, common decency or the rights of third parties. Details of data processing can be found in our privacy policy.
Art. 14: Data Protection
The collection, processing and use of personal data is governed exclusively by the provisions of our Privacy Policy.
Art. 15: Place of Jurisdiction and Applicable Law
The place of jurisdiction for all disputes arising directly or indirectly from this contractual relationship is Thundorf (Canton of Thurgau, Switzerland). The legal relationship is governed by Swiss law, to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG).
For consumer transactions from Germany or Austria, mandatory protective provisions on consumer jurisdiction and consumer choice of law at the buyer's habitual place of residence remain unaffected (Art. 6(2) of the Rome I Regulation).
